Corporate Social Responsibility (CSR) Policy
(Pursuant to Section 135 of the Companies Act, 2013)
1. Introduction
Genius Filters and Systems Private Limited (“the Company”) is committed to conducting its business in a socially responsible and sustainable manner. In line with the provisions of Section 135 of the Companies Act, 2013 and the Companies (Corporate Social Responsibility Policy) Rules, 2014, the Company has formulated this Corporate Social Responsibility (CSR) Policy to outline its philosophy, governance framework, focus areas, and implementation approach.
This Policy reflects the Company’s commitment to contribute meaningfully to social development, environmental sustainability, and inclusive growth, while creating long-term value for society.
2. CSR Vision & Philosophy
The Company’s CSR philosophy is based on the principle of creating shared value, where industrial growth goes hand in hand with social and environmental responsibility.
Our CSR Vision:

3. Applicability
This CSR Policy shall apply to Genius Filters and Systems Private Limited in accordance with the thresholds specified under Section 135(1) of the Companies Act, 2013 and shall be reviewed periodically to ensure continued compliance.
4. CSR Governance Structure
CSR Committee
The CSR activities of the Company shall be governed by the CSR Committee of the Board, constituted in accordance with the Companies Act, 2013.
The CSR Committee shall be responsible for:
Formulating and recommending the CSR Policy
Recommending the amount of CSR expenditure
Identifying and approving CSR projects and programs
Monitoring implementation and impact assessment
Ensuring statutory compliance and disclosures
5. CSR Focus Areas
(Aligned with Schedule VII of the Companies Act, 2013)
The Company shall undertake CSR activities primarily within the scope of Schedule VII, including but not limited to:
a) Environmental Sustainability
Promotion of clean air, pollution control and environmental protection
Conservation of natural resources
Sustainable manufacturing and waste reduction initiatives
b) Education, Skill Development & Livelihood Enhancement
Skill development and vocational training programs
Promotion of technical education and employability
Capacity building aligned with MSME and industrial development
c) Health, Safety & Sanitation
Initiatives supporting public health and occupational safety
Clean air and environmental health improvement
Workplace safety and well-being programs
d) Community Development & Social Welfare
Community infrastructure and welfare initiatives
Social inclusion and support for underprivileged sections
Rural and regional development initiatives
6. CSR Implementation & Execution
CSR projects and programs may be implemented:
Directly by the Company
Through eligible implementing agencies as permitted under the CSR Rules
All projects shall be:
Approved by the CSR Committee
Executed in a transparent and accountable manner
Monitored periodically for progress and outcomes
7. CSR Expenditure
The Company shall ensure that:
CSR expenditure is in compliance with Section 135(5) of the Companies Act, 2013
Administrative overheads shall not exceed limits prescribed under CSR Rules
Any unspent CSR amount shall be treated as per statutory requirements
8. Monitoring, Reporting & Disclosure
CSR projects shall be monitored by the CSR Committee
Impact assessment shall be undertaken where applicable
Details of CSR activities and expenditure shall be disclosed in the Board’s Report and on the Company’s website, as required under law
9. Amendment & Review
This CSR Policy shall be reviewed periodically and may be amended by the Board of Directors based on:
Changes in statutory provisions
Business priorities
National development goals
